SUBJECT: Retroactive Agreement with Pacific Clinics and Comprehensive
Youth Services, Inc. for Full Service Partnership Continuum of Care

RECOMMENDED ACTION(S):
TITLE
Approve and authorize the Chairman to execute a retroactive Agreement with Pacific Clinics and Comprehensive Youth Services, Inc. for Children Full Service Partnership (FSP) Continuum of Care services effective October 1, 2025 through December 31, 2025, total not to exceed $1,649,149.
REPORT
There is no additional Net County Cost associated with the recommended action. The recommended action will allow services to continue and allow the Department to pay for services already provided. The 30-day deadline to execute the second three-month extension was not met, resulting in the agreement expiring on September 30, 2025. Approval of the recommended action will allow services to continue based on the previously approved agreement. This item is countywide.
ALTERNATIVE ACTION(S):
There is no viable alternative action. If your Board does not approve the recommended action, the Department would be unable to pay vendors for services already provided and existing individuals served by the expiring agreement would experience a gap in services while transitioning to the newly selected contractor for Children Full Service Partnership Continuum of Care services.
RETROACTIVE AGREEMENT:
Written approval from both the Contractor and the County is required to enact an extension of the agreement term. Intention to extend the agreement was verbally communicated between the Department and vendors in June 2025, however, as no written approval was provided, the agreement expired on September 30, 2025. Comprehensive Youth Services (CYS) and Pacific Clinics continued to provide services to County persons served with the understanding that the previous agreement had been extended through December 31, 2025. The Department was made aware of this on November 21, 2025 upon receiving and processing the October invoices from the vendors. The recommended agreement is retroactive to October 1, 2025 and is being brought to your Board on the earliest possible date in accordance with the agenda item processing timelines.
FISCAL IMPACT:
There is no increase in Net County Cost associated with the recommended action. The maximum cost of the recommended Agreement is $1,649,149 and will be funded with Medi-Cal Federal Financial Participation, Mental Health Realignment, and MHSA funds. Sufficient appropriations and estimated revenues are included in the Department of Behavioral Health’s Org 5630 FY 2025-2026 Adopted Budget. Actual costs will be determined by actual services provided. Invoices pending approval of this recommended Agreement for reimbursement total $428,815 between both vendors. This does not include November invoicing for Pacific Clinics.
DISCUSSION:
On July 10, 2018, the Board approved collaborative Agreement No. A-18-366 with Pacific Clinics, Comprehensive Youth Services, Inc. (CYS), and Exceptional Parents Unlimited, Inc. (EPU) for Full Service Partnership services to children ages 0-10.
On June 30, 2023, the Board approved Superseding Agreement No. A-23-276 to include new California Advancing and Innovating Medi-Cal (CalAIM) requirements set by the Department of Health Care Services including payment reform requirements.
On September 5, 2023, the Board approved Amendment No. 1 (No. A-23-455) to the agreement to add Intensive Case Management (ICM) and Outpatient (OP) level of care services to allow children to step-down between levels of care without interruption of services.
On June 24, 2025, your Board approved Amendment No. 2 (No. A-25-287) to the Agreement to extend the term by three months and authorize an optional additional three-month extension.
Notice of an approved second three-month term was made and confirmed verbally by all parties in June 2025. Per the previously approved Agreement, written approval by all parties must be provided at least thirty (30) days before the first day of the three-month extension period. As no written approval was provided, the agreement expired on September 30, 2025. CYS and Pacific Clinics continued to provide services to County persons served with the understanding that the previous agreement had been extended through December 31, 2025. The Department, in good faith, is requesting the approval of the recommended retroactive Agreement for the three-month term of October 1, 2025 through December 31, 2025 in order to pay vendors for services provided to County persons served during that timeframe.
OTHER REVIEWING AGENCIES:
The Behavioral Health Board was notified of the recommended Agreement during the January 2026 meeting.
