SUBJECT: Retroactive Assignment of Agreement with ECS Imaging, Inc. to MCCi, LLC
RECOMMENDED ACTION(S):
TITLE
Approve and authorize the Chairman to execute retroactive Assignment of Rights and Delegation of Duties under Agreement No. A-25-026 with ECS Imaging, Inc., a California corporation to MCCi LLC, a California corporation, effective May 1, 2025, with no change to the term of February 1, 2025, to November 30, 2027, or maximum compensation of $1,126,565.
REPORT
There is no additional Net County Cost associated with the recommended action. ECS Imaging, Inc. (ECS Imaging) merged with MCCi LLC (MCCi) and began operating under MCCi as of May 1, 2025. Approval of the recommended action will assign, transfer, and delegate all rights, benefits, responsibilities, and obligations under Agreement No. A-25-026 to MCCi to continue providing software licenses, maintenance, and support for Laserfiche Document Management Systems (Laserfiche). This item is countywide.
ALTERNATIVE ACTION(S):
Should your Board not approve the recommended action, the County will be unable to continue to receive products and services under the agreement with ECS Imaging. The Information Technology Services Department (ITSD) would then work with the General Services Department – Purchasing Division to conduct a new competitive selection process for these services.
RETROACTIVE AGREEMENT:
The recommended Assignment of Rights and Delegation of Duties (Assignment) is retroactive to May 1, 2025, the date that ECS Imaging merged with MCCi. This item is brought before your Board for consideration at the earliest available date following internal review and determination of the appropriate method to document the vendor change.
FISCAL IMPACT:
There is no increase in Net County Cost associated with the recommended action. The parties agree that the County has paid all amounts owed to ECS Imaging, and that MCCi releases any further rights to payment after the effective date of the Assignment. Sufficient appropriations and estimated revenues are included in the Information Technology Services Org 8905 FY 2025-26 Adopted Budget and will be included in subsequent Recommended Budget requests for the duration of the term.
DISCUSSION:
On January 28, 2025, your Board approved Agreement No. A-25-026 with ECS Imaging, through a cooperative agreement with OMNIA Partners, to provide software licenses, maintenance, and support for Laserfiche from February 1, 2025 through November 30, 2027, with a total not to exceed $1,126,565. ECS Imaging was selected through a Request for Proposals released by the Region 14 Education Service Center in conjunction with OMNIA Partners.
On May 5, 2025, ECS Imaging provided ITSD with written notice that they merged with MCCi and would be operating under MCCi’s legal name effective May 1, 2025. Upon notification, staff consulted internally to determine the correct approach to document the legal entity name change. It was concluded that the recommended Assignment is the appropriate mechanism and is consistent with County policies and procedures.
Approval of the recommended action would authorize the recommended Assignment of ECS Imaging’s rights, obligations, and duties under the Agreement to MCCi, effective May 1, 2025, and allow MCCi to continue to provide its services under the Agreement with no change to the term or maximum compensation.
