SUBJECT:                     Amendment I to Agreement with Penlink Ltd.

RECOMMENDED ACTION(S):

TITLE

Approve and authorize the Chairman to execute Amendment I to Agreement A-23-238 with Penlink Ltd. for software and maintenance support, effective upon execution with no change in the term to December 31, 2026, amending the scope of services and increasing the maximum compensation amount by $61,069, to a total of $385,713.

REPORT

There is no increase in Net County Cost associated with the recommended action, which will increase the maximum compensation amount payable to Penlink Ltd. to allow the District Attorney’s Office (DA) to continue cyber investigations and electronic communications. The original agreement is for a three-year and seven-month contract, ending December 31,2026, with an optional one-year extension, and contains a maximum compensation not to exceed $324,644. The recommended amendment I will amend the scope of services and increase the maximum compensation amount to $385,713, with no change in term, ending December 31, 2026 (with an optional one-year extension). This item is countywide.

ALTERNATIVE ACTION(S):

If the recommended action is not approved, these additional professional services will not be provided to the DA, which will impact future criminal investigations in Fresno County.

FISCAL IMPACT:

There is no increase in Net County Cost associated with the recommended action. The recommended amendment I will increase the maximum compensation amount by $61,069 to a total of $385,713 to add two additional Penlink products for an initial cost of $23,763 for FY 2023-24 and associated annual renewal fees of $37,306 for the remainder of the term. The PLX Software in the amount of $9,198 will be fully funded by the Multi-Agency Gang Enforcement Consortium (MAGEC) and the PLX Analysis Suite Software in the amount of $14,566 is funded out of the District Attorney’s FY 2023-24 Org 2860 Adopted Budget. Sufficient appropriations and estimated revenues will be included in subsequent budget requests for the District Attorney Org 2860.

DISCUSSION:

On June 6, 2023, the County executed Board Agreement A-23-238 with Penlink Ltd. for a three year and seven-month base contract ending December 31, 2026, with an optional one-year extension and contained a maximum compensation not to exceed $324,644 which was utilized for the initial purchase of equipment and software for the MAGEC program and allowed for the upfront payment of the four years of annual maintenance and support fees.

The recommended amendment I to the agreement amends the scope of services to expand the cyber investigation program for both MAGEC and the DA with two additional Penlink products and associated annual renewal fees for the purpose of monitoring and combating criminal activity.

The PLX Software is fully funded by the MAGEC program and the PLX Analysis Suite Software will be Net County Cost to the DA but was necessary due to the addition of the Crime Analyst position that was added mid-year.  The crime analyst requires the Penlink software for required job duties and will be essential for successful criminal investigations.
