SUBJECT: Master Agreement for Towing and Emergency Roadside Assistance Services
RECOMMENDED ACTION(S):
TITLE
Approve and authorize the Chairman to execute a Master Agreement with Action Towing Dive Team, Inc. (Action Towing) and Herndon Towing, Inc. (Herndon Towing) for towing and emergency roadside assistance services, effective upon execution, not to exceed five consecutive years, which includes a three-year base contract with two optional one-year extensions, total not to exceed $500,000.
REPORT
There is no additional Net County Cost associated with the recommended action, which will allow the County to contract for towing and emergency roadside assistance services for the County’s fleet of vehicles. This item is countywide.
ALTERNATIVE ACTION(S):
Should your Board not approve the recommended action, the County will be without an efficient method for obtaining towing and emergency roadside assistance services. Services would be provided by a variety of vendors on an as-needed basis, which would result in higher costs.
FISCAL IMPACT:
There is no increase in Net County Cost associated with the recommended action for Internal Services Department (ISD)-Fleet Services Org 8910. All costs associated with these services are recovered through chargebacks to user County departments. Sufficient appropriations and estimated revenues are included in the ISD-Fleet Services Org 8910 FY 2022-23 Adopted Budget and will be requested in subsequent budgets subject to approval by your Board.
There is no increase in Net County Cost associated with the recommended action for Sheriff-Coroner Org 3111. Sufficient appropriations are included in the Sheriff-Coroner Org 3111 FY 2022-23 Adopted Budget and will be requested in subsequent budgets, subject to approval by your Board.
There is no increase in Net County Cost associated with the recommended action for Public Works and Planning Orgs 9026 and 9140. Sufficient appropriations are included in the Public Works and Planning Orgs 9026 and 9140 FY 2022-23 Adopted Budget and will be requested in subsequent budgets, subject to approval by your Board.
DISCUSSION:
On May 12, 2020, your Board approved Agreement No. 20-176 for Towing and Roadside Services with Action Towing and Herndon Towing (Existing Agreement), effective June 1, 2020 for a three-year base contract with two optional one-year extensions upon written approval of all parties, for a total of $450,000.
On March 14, 2022, the vendors under the Existing Agreement requested increases to the established rates due to increasing operational costs.
On October 25, 2022, your Board approved the Without Cause termination of the Existing Agreement, which delegated authority to the Director of ISD to provide a 30-day notice of termination and to execute documents to affect the termination. This termination notice was provided on April 26, 2023, to affect a termination date of May 26, 2023, due to the vendors inability to maintain services without a rate increase.
On December 19, 2022, the ISD - Purchasing Division released Request for Statement of Qualifications (RFSQ) No. 23-015 for Towing and Roadside Services to award a Master Agreement to all responsible bidders with physical locations within the geographical boundaries of Fresno County. The closing date of the RFSQ occurred on January 27, 2023.
ISD - Purchasing received two responses by the closing date, and tentative awards were issued to Action Towing and Herndon Towing on February 6, 2023.
Approval of the recommended action will authorize award of the Master Agreement to Action Towing and Herndon Towing for a potential five-year term which include a three-year base contract which total shall not exceed $300,000, and two optional one-year extensions upon written approval of both parties in which compensation will be increased by $100,000 for each extension opportunity, for a total amount not to exceed $500,000.
