SUBJECT: Retroactive Assignment of Agreement with The Act 1 Group, Inc., dba ATIMS to End 2 End Public Safety, LLC, dba ATIMS
RECOMMENDED ACTION(S):
TITLE
Approve and authorize the Chairman to execute retroactive Assignment of Rights and Delegation of Duties under Agreement No. A-24-609 with The Act 1 Group, Inc., dba ATIMS to End 2 End Public Safety, LLC, dba ATIMS, effective December 11, 2025, with no change to the potential term of December 3, 2024, to December 2, 2034, or maximum compensation of $5,471,547.
REPORT
There is no increase in Net County Cost associated with the recommended action. As of December 11, 2025, the County’s vendor, The Act 1 Group, Inc., dba ATIMS was purchased and substantially all assets comprising the ATIMS business were acquired by End 2 End Public Safety, LLC, dba ATIMS. Approval of the recommended action will assign, transfer, and delegate all rights, benefits, responsibilities, and obligations under Agreement A-24-609 (Assignment) to End 2 End Public Safety, LLC, dba ATIMS to continue the implementation of the Jail Management System software. This item is countywide.
ALTERNATIVE ACTION(S):
Should your Board not approve the recommended action, the County would be unable to continue the implementation of the Jail Management System software, a critical management system that manages the day-to-day operations of the County’s Jail facilities.
RETROACTIVE AGREEMENT:
The recommended Assignment is retroactive to December 11, 2025, as that is when the vendor requested to transition the Agreement from The Act 1 Group, Inc. to End 2 End Public Safety, LLC. This item is brought before your Board for consideration at the earliest available date following internal review and determination of the appropriate method to document the vendor change.
FISCAL IMPACT:
There is no increase in Net County Cost associated with the recommended action. The parties agree that the County has paid all amounts owed to The Act 1 Group, Inc under the Agreement. As of June 26, 2026, there is one pending invoice totaling $80,281 that cannot be paid until the recommended Assignment is approved, as the Agreement has not yet been assigned to End 2 End Public Safety, LLC.
Sufficient appropriations and estimated revenues are included in The Sheriff-Coroner-Public Administrator’s Org 3111 FY 2025-26 Adopted Budget, and pending expenses incurred were accrued before FY 2025-26 closed. For any future payments, sufficient appropriations and estimated revenues will be included in subsequent budget requests for the duration of the Agreement term.
DISCUSSION:
On March 2, 2023, through Request for Demonstration (RFD) # 24-003 invitations were sent to qualified vendors to provide a six-hour demonstration of their software for Jail Management System (JMS) to the Review Committee in which four vendors participated. After thorough review and approval from County Purchasing and the Review Committee, The Act 1 Group, Inc., dba ATIMS was selected to implement and provide the Jail Management System that is crucial for the continued operations of the County Jail facilities. On December 3, 2024, your Board approved the Agreement with The Act 1 Group, Inc., dba ATIMS for the implementation of and software support and maintenance of the ATIMS Jail management System Software.
On December 18, 2025, The Act 1 Group, Inc., provided written notice to the County that they were moving operating entity to End 2 End Public Safety, LLC, dba ATIMS, effective December 11, 2025. Upon notification, staff consulted internally to determine the correct approach to document the change in entity. It was determined that the recommended Assignment is the appropriate mechanism and is consistent with County policies and procedures.
Approval of the recommended action will assign all rights, obligations, and duties under the Agreement from The Act 1 Group, Inc., dba ATIMS to End 2 End Public Safety, LLC, dba ATIMS, effective December 11, 2025, with no change to the term or maximum compensation.
