SUBJECT: Amendment No.1 to Agreement 25-304 with AAA Quality Services, Inc.
RECOMMENDED ACTION(S):
TITLE
Approve and authorize the Chairman to execute Amendment No. 1 to Agreement 25-304 with AAA Quality Services, Inc. for portable chemical toilets rentals and services, effective upon execution with no change to the original term of June 24, 2025 through June 23, 2028, removing annual contract limits and increasing the contract maximum by $297,436 to a total of $850,000.
REPORT
There is no increase in Net County Cost associated with the recommended action. Approval of the recommended Amendment No. 1 to Agreement 25-304 with AAA Quality Services, Inc. will eliminate the annual maximum compensation limit and increase the overall contract maximum by $297,436 for a revised total contract maximum of $850,000. This adjustment will ensure the continued availability of rental, cleaning, and maintenance services for portable sanitary units at multiple locations countywide in support of public infrastructure, special events, emergency response, and construction activities. This item is countywide.
ALTERNATIVE ACTION(S):
There is no viable alternative action. If your Board does not approve the recommended action, the County will be unable to remove the annual compensation limits and increase the contract maximum, which may limit the County’s ability to meet increased service demands during the remainder of the agreement term.
FISCAL IMPACT:
There is no increase in Net County Cost associated with the recommended action. The increase in contract maximum compensation will be funded by the Department of Public Works and Planning (Org 45104512, 45104514, 7910, and 9026) and the Sheriff-Coroner Office (Org 3111 and 31114000). Sufficient appropriations and estimated revenues are included in the FY 2026-27 Recommended Budgets and will be included in subsequent budget requests for the respective departments.
DISCUSSION:
On June 24, 2025, the County entered into Agreement 25-304 with AAA Quality Services, Inc. for the rental, cleaning, and maintenance of portable sanitary units across multiple locations county-wide to support public infrastructure, special events, emergencies, and construction sites. The current agreement is for a term of three years beginning on June 24, 2025, for a maximum of $100,000 for Year 1, $105,000 for Year 2, $110,250 for Year 3, with the option to renew for up to two additional one-year periods for a maximum of $115,763 for the first extension period, $121,551 for the second extension period for a total of $552,564 for the entire term of the agreement. Amendment No. 1 will remove the annual maximum compensation and increase the term maximum compensation to $850,000.
Since the execution of the Agreement, the County’s operational needs have fluctuated and, in certain instances, increased due to unanticipated demands, including emergency response activities, special events, and expanded public works projects, resulting in a higher volume of services, including off-route services and special service requests, than originally estimated, which exceeded the Year 1 annual maximum compensation established in the Agreement. To ensure continuity of operations and timely payment for services rendered, all invoices that exceeded the Agreement’s annual compensation limit were processed using approved purchasing methods. As a result, there are no outstanding invoices related to these additional services.
The current compensation structure, which includes fixed annual maximums, has proven to be restrictive and does not adequately reflect the variable and on-demand nature of the services required. The annual cap may limit the Contractor’s ability to respond promptly to urgent or unplanned service requests, particularly during emergencies or peak operational periods.
