SUBJECT: Retroactive Assignment of Agreement with eCivis, Inc. to Euna Solutions, Inc.
RECOMMENDED ACTION(S):
TITLE
Approve and authorize the Chairman to execute a retroactive Assignment of Rights and Delegation of Duties under Agreement No. A-23-552 with eCivis, Inc. to Euna Solutions, Inc., effective January 1, 2025, with no change to the potential five-year term of October 1, 2023, to September 30, 2028, or the maximum compensation of $600,000.
REPORT
There is no additional Net County Cost associated with the recommended action. The County’s vendor, eCivis, Inc. (eCivis), has legally changed its name to Euna Solutions, Inc. (Euna) and began operating as Euna as of January 1, 2025. Approval of the recommended action will assign, transfer, and delegate all rights, benefits, responsibilities, and obligations under Agreement No. A-23-552 to Euna to continue providing software and support for a full-service grant management platform. This item is countywide.
ALTERNATIVE ACTION(S):
Should your Board not approve the recommended action, the County will be unable to continue to receive products and services under the agreement with eCivis. The Information Technology Services Department (ITSD) would then work with the General Services Department - Purchasing Division to conduct a new competitive selection process for these services.
RETROACTIVE AGREEMENT:
The recommended Assignment of Rights and Delegation of Duties (Assignment) is retroactive to January 1, 2025, the effective date of eCivis’ name change to Euna. This item is brought before your Board for consideration at the earliest available date following internal review and determination of the appropriate method to document the name change.
FISCAL IMPACT:
There is no increase in Net County Cost associated with the recommended action. Sufficient appropriations and estimated revenues are included in the ITSD Org 8905 FY 2025-26 Adopted Budget and will be included in subsequent Recommended Budget requests for the duration of the term.
DISCUSSION:
On October 10, 2023, the Board approved Agreement No. A-23-552 with eCivis, through a Suspension of Competition, to provide software and support for a full-service grant management platform, from October 1, 2023, through September 30, 2028, with a total not to exceed $600,000.
On October 15, 2025, Euna provided ITSD with written notice of their legal name change. Upon notification, staff consulted internally to determine the correct approach to document the legal entity name change. It was concluded that the recommended Assignment is the appropriate mechanism and is consistent with County policies and procedures.
Approval of the recommended action would authorize the recommended Assignment of eCivis’ rights, obligations, and duties under the Agreement to Euna, effective January 1, 2025, and allow Euna to continue to provide its services under the Agreement with no change to the term or maximum compensation.
