SUBJECT:                     Agreement with Closure Intelligence, Inc.

 

RECOMMENDED ACTION(S):

TITLE

1.                     Under Administrative Policy No. 34 for competitive bids or requests for proposals (AP 34) determine that an exception to the competitive bidding requirement under AP 34 is satisfied and a sole source is warranted due to unusual or extraordinary circumstances, and that the best interests of the County would be served by entering into an agreement with Closure Intelligence, Inc., as Closure Intelligence, Inc. is the sole distributor and manufacturer of the Closure Intelligence Platform; and

2.                     Approve and authorize the Chairman to execute an Agreement with Closure Intelligence, Inc. for a license to use the Closure Intelligence Platform, implementation and configuration services, training, support, and subscription service allotment increases, effective July 1, 2026, through June 30, 2030, which includes a three-year base contract and optional one-year extension, total not to exceed $680,000; and

3.                     Authorize the District Attorney, or their designee to approve and execute Exhibit G (Subscription Service Allotment Increase Order Form), or related forms, to purchase, any future subscription service allotment increases under the Agreement.

REPORT

There is no additional Net County Cost associated with the recommended actions, which will determine that an exception to the competitive bidding process has been satisfied and allow the District Attorney’s Office (DA) to enter into an agreement with Closure Intelligence, Inc. (Closure) for use of the Closure Intelligence Platform, an AI-powered platform specifically designed for prosecutorial agencies to streamline evidence review. The recommended agreement maximum is not to exceed $680,000.  This item is countywide.

 

ALTERNATIVE ACTION(S):

 

If the recommended actions are not approved, the DA will not have access to a platform that accelerates investigations and improves efficiency in case preparation.

 

SUSPENSION OF COMPETITION/SOLE SOURCE CONTRACT:

 

It is requested that the County find under Administrative Policy No. 34 that an exception to the competitive bidding requirement is satisfied, and a suspension of competition is warranted due to unusual or extraordinary circumstances as Closure’s platform is the only service that unifies administrative, investigative, and prosecutorial evidence analysis in a single interface.  It is specifically designed for prosecutors. Closure delivers a comprehensive suite of capabilities, including semantic search, audio intelligence, warrant processing, and case organization, across the entire lifecycle of prosecution. No existing company was found that offers a single, unified platform integrating administrative, investigative, and prosecutorial analysis tools specifically designed for prosecutors; instead, most provide only individual tools such as transcription, document review, video analysis, or case management. Based on this, a letter of interest was not necessary. The General Services Department - Purchasing concurs with the Department’s request to suspend the competitive bidding process.

 

FISCAL IMPACT:

 

There is no increase in Net County Cost associated with the recommended actions.  The total cost of Closure’s services over the four-year agreement is $680,000.  Sufficient appropriations and estimated revenues are included in the DA’s Org 2860 FY 2026-27 Recommended budget and will be included in future budget requests. 

 

DISCUSSION:

 

Closure Intelligence, Inc. has developed a platform designed specifically for the needs of law enforcement and prosecutorial agencies. The company focuses on helping agencies streamline investigative workflows, accelerate case preparation, and manage growing volumes of digital evidence using modern, secure, and compliant technology. 

 

Closure Intelligence, Inc. will streamline the evidentiary demands placed on the DA by automating the most time-consuming stages of digital case review, allowing staff to focus more on substantive case work and less on administrative tasks.  With rapid transcription, translation, and AI-enhanced analysis of audio, video, documents, and images, the platform enables staff to gain faster clarity on complex evidence and identify key facts, inconsistencies, and corroborating details with greater accuracy. The platform’s workflows will help bridge investigative and prosecutorial processes, reducing administrative burden and improving communication with law enforcement partners. As a result, the DA can manage its high volume caseloads more efficiently while maintaining confidence in the accuracy, completeness, and defensibility of its case preparation. 

 

The Department reviewed detailed sole-source justification and market research, along with an assessment of available law enforcement software. This research included open-source review, outreach to other vendors, and consultation with law enforcement experts. Although many companies offer individual tools such as transcription, document review, video analysis, or case management, none were found that offer a single platform integrating administrative, investigative, and prosecutorial analysis for prosecutors. Based on this review, no alternative vendors were identified that could deliver the full scope of required capabilities.

 

This agreement was reviewed by County Labor Relations pursuant to Assembly Bill 339 and notice was provided to the Labor Unions. The Union reviewed the agreement and determined that employees in the affected unit would benefit from this program as it would assist in large data analysis of audio, video, and digital files. 

 

The recommended agreement deviates from standard County language in several areas, including indemnification, data security obligations, limitation of liability, service modification, termination rights, and inspection provisions.  These deviations include limiting indemnification to intellectual property infringement and certain third-party claims, capping liability at two times the fees paid during the prior twelve months, requiring mutual agreement for service modifications, permitting contractor termination after notice and opportunity to cure, and narrowing the County’s inspection rights. After reviewing and evaluating these deviations in the context of the proposed services, the Department believes that accepting these risks is a prudent business decision.
