SUBJECT:                     Pleasant Valley Water District Amended Bylaws

 

RECOMMENDED ACTION(S):

TITLE

Approve the Amended and Restated bylaws of Pleasant Valley Water District.

REPORT

Pleasant Valley Water District (District) has amended its Bylaws by a unanimous vote of its Board of Directors and is seeking approval of the Amended and Restated Bylaws of Pleasant Valley Water District from your Board as provided for in the California Water Code.  Approval of your Board may be by a simple majority.

 

ALTERNATIVE ACTION(S):

 

Your Board may choose not to approve the Amended and Restated Bylaws, leaving the District to seek approval from 2/3rds of the total vote of the District, either in writing or by ballot cast at a District election.

 

FISCAL IMPACT:

 

The Recommended Action has no fiscal impact on the County.

 

DISCUSSION:

 

The Board of Directors of the Pleasant Valley Water District has adopted Amended and Restated Bylaws.  In accordance with the California Water Code section 35305, bylaws may be amended, repealed or new bylaws adopted by either a 2/3rd vote of its members or by a 4/5th vote of its Board and approval by the Board of Supervisors of the principal county of the district.

 

The primary changes to the Bylaws include the following:

 

                     A change in the primary location of the principal office for transaction of business

                     An option for posting notices on the District’s website

                     An increase in the number of members constituting a quorum, implying an increase in the number of Directors

                     An update to the citation in the Elections Code regarding recall elections

                     A provision for the establishment and conduct of committees

 

Staff would note that the District increased the number of Directors from five to seven by resolution on August 28, 2014.  Staff also advised counsel for the District of a minor error of citation in the Bylaws with a recommendation for correction in the next amendment to their Bylaws.
