SUBJECT: Amendment of Legal Services Agreement with Prentice Long

RECOMMENDED ACTION(S):
TITLE
Approve and authorize the Chairman to execute Amendment No. 2 to Legal Services Agreement, which amends Agreement No. P-21-497 with the law firm of Prentice Long, PC, to extend the term of the Agreement by six months to December 31, 2024, and to increase the maximum compensation payable under the Agreement by $50,000 to a total of $250,000.
REPORT
There is no additional Net County Cost associated with the recommended action. The recommended Amendment will allow Prentice Long, PC (Prentice Long) to complete its services on a pending litigation matter that it is handling under the existing Agreement.

ALTERNATIVE ACTION(S):

If your Board does not approve the recommended action, the Office of the County Counsel would need to take over the pending litigation matter that Prentice Long is handling under the existing Agreement.

FISCAL IMPACT:

There is no additional Net County Cost associated with the recommended action.

DISCUSSION:

In 2021, the County entered into Purchasing Agreement No. P-21-497 for Prentice Long to provide legal advice and counsel to the County, including litigation. The term of that Agreement was through June 30, 2023, and the maximum compensation payable to Prentice Long by the County under that Agreement was $150,000.

In June 2023, the County amended that Purchasing Agreement to extend the term by one year, to June 30, 2024, and to increase the maximum compensation by $50,000 to a total of $200,000, which is the limit that the Purchasing Manager may approve for such an Agreement.

Through the end of October 2023, the County had paid about $196,000 to Prentice Long for its services under agreement No. P-21-497 as amended in June.
