SUBJECT: Assignment and Novation Agreement between AtPac, Inc. and South Tech Systems, Inc., and the County of Fresno

RECOMMENDED ACTION(S):
TITLE
Approve and authorize the Chairman to execute Assignment and Novation Agreement, consenting to assignment of vendor AtPac, Inc's. rights and obligations under County Agreement No. 09-254 to successor in interest SouthTech Systems, Inc.
REPORT
Approval of the recommended action will allow for and authorize the transfer of the County's existing agreement with current vendor AtPac, Inc. ("AtPac") for provision of cashiering system services to new vendor South Tech Systems, Inc.("SouthTech"). The assignment is required due to SouthTech's acquisition of AtPac on March 1, 2017. This assignment will allow SouthTech Systems, Inc. to provide for continued software and related services such as recording, scanning, indexing, archiving legal documents and issuing birth, death, and marriage certificates to the public.

ALTERNATIVE ACTION(S):

There is no viable alternative action. The assignment assures that the new vendor must comply with all terms set forth in the County's Agreement No. 09254 with AtPac, entered into on July 1, 2009, which expires on June 29, 2019.

FISCAL IMPACT:

There is no increase in Net County Cost and no change to the fiscal impact as a result of the recommended action as the current agreement for provision of cashiering services will continue in full accordance with its existing terms. Sufficient appropriations are included in the FY 2016-17 Adopted Budget for the Assessor-Recorder Org 0420.

DISCUSSION:

Effective March 1, 2017, cashiering system vendor AtPac sold its corporate assets and transferred all of its software licenses and service agreements to new vendor SouthTech.
