SUBJECT: Amendment to Fresno Arts Council Bylaws
RECOMMENDED ACTION(S):
TITLE
Receive report and accept the amended Bylaws for the Fresno Arts Council.

ALTERNATIVE ACTION(S):
There are no viable alternative actions. This is a report from the Fresno Arts Council regarding its amended Bylaws. It is a separate non-profit corporation, and its amended Bylaws do not require your Board’s approval.
FISCAL IMPACT:
There is no additional Net County Cost associated with the recommended action.
DISCUSSION:
During the October 9, 2018 Board meeting, a question arose during the Board of Supervisors’ Committee Reports and Comments section of the meeting regarding a recent appointment to the Fresno Arts Council board. A Board member made an appointment, which was rejected by the Fresno Arts Council.
County Counsel stated that the County partners with the Fresno Arts Council for certain arts programs to receive national endowment of arts funds through the California Arts Council. The Fresno Arts Council is a separate corporation with its own Bylaws. Those Bylaws currently provide for an approval by the majority of their board of any appointments by the County or by the city.
The Clerk of the Board was instructed to contact the Fresno Arts Council for clarification. In response to the concerns raised by the Board of Supervisors, the Fresno Arts Council decided to amend their Bylaws by deleting “Appointments are subject to approval by the majority of the total Board” within Section 2: Board Nominating and election Procedures of their Bylaws. A copy of the revised Bylaws adopted by the Fresno Arts Council is included with this report.
