SUBJECT:                     First Amendment to Agreement with Valley Health Team, Inc.

 

RECOMMENDED ACTION(S):

TITLE

Approve and authorize the Chairman to execute a retroactive Amendment I to Agreement No. 19-386 with Valley Health Team, Inc. for services to improve prevention and management of heart disease and stroke through clinic-based strategies, with no change in term to September 29, 2023 and decreasing the maximum by $200,000 to a total of $1,199,997.

REPORT

Approval of the recommended Amendment will modify the scope of work to Agreement #19-386 with Valley Health Team, Inc. (VHT), reduce the overall compensation commensurate with the scope of work modifications, and adjust each year’s budget accordingly with no Net County cost. This item is countywide.

 

ALTERNATIVE ACTION(S):

 

There is no viable alternative actions.  Should your Board not approve the recommended action, the agreement’s budget and scope of work would be overstated. 

 

RETROACTIVE AGREEMENT:

 

The recommended Amendment is retroactive to August 6, 2019.  The time required to work through the details of the recommended amendment did not allow presentation to your Board at an earlier date.

 

FISCAL IMPACT:

 

There is no increase in Net County Cost associated with the recommended action.  There recommended amendment will decrease the maximum compensation by $200,000 over the term of the agreement to a maximum compensation of $1,199,997 due to a change in the overall scope of the project.

 

The recommended amendment revised each period’s compensation to the following amounts:

 

                     $100,296 (Aug. 6, 2019 - Sept. 29, 2019)

                     $349,704 (Sept. 30,2019 - Sept. 29, 2020)

                     $249,999 (Sept. 30,2020 - Sept. 29, 2021)

                     $249,999 (Sept. 30,2021 - Sept. 29, 2022)

                     $249,999 (Sept. 30,2022 - Sept. 29, 2023)

 

Sufficient appropriations and estimated revenues are included in the Department’s Org. 5620 FY 2019 Adopted Budget and will be included in future budget requests for the duration of the term.

 

 

DISCUSSION:

 

On August 6, 2019 your Board approved Agreement No. 19-386 with VHT to perform activities that contribute to the reduction of hypertension rates and increase prevention, detection, and management of heart disease. Through evaluation and collaboration with both VHT and the funding agency, Centers for Disease Control and Prevention (CDC), it was determined that scope of work activities required under the County’s CDC grant award required slight modification.   As a result, VHT agreement’s scope of work required adjustment.   The recommended amendment removes the activity of medication therapy management from the scope of work and adds clinical quality measures, a tool to help manage and track patient health outcomes.  The Department is currently exploring ways to fulfill the medication therapy management activity.  Commensurate with the scope of work activity adjustments, the agreement’s budget was reduced by $200,000 over the full term of the agreement; and the adjustment was made retroactive to the beginning of the contract term, August 6, 2019.

 

Additionally, VHT requested the Termination - Breach of Contract section of the agreement be amended to include “a reasonable good faith determination”.  County Counsel is amenable to the additional language.  All other terms of agreement #19-386 remain unchanged.
