SUBJECT:                     Second Amendment to Agreement with NOBICO Inc. dba, Integrated Electronics for Alarm Maintenance, Repair, Inspection, and Monitoring Services for Notifier Systems

 

RECOMMENDED ACTION(S):

TITLE

Approve and authorize the Chairman to execute Second Amendment to Agreement with NOBICO Inc., dba Integrated Electronics, for Alarm Maintenance, Repair, Inspection, and Monitoring Services for Notifier Systems (“Agreement”), effective upon execution, with no change in the term through November 5, 2023, and increasing the maximum compensation amount by $500,000 to a total of $1,500,000.

REPORT

There is no additional Net County Cost associated with the recommended action, which will allow the Internal Services Department (ISD) -Facility Services Division (“ISD - Facilities”) to continue to obtain alarm maintenance, repair, inspection, and monitoring services for Notifier systems from NOBICO Inc. dba Integrated Electronics (“Integrated”) for County departments. This increase will address the higher than anticipated service needs for supplemental projects and will be funded by user departments. This item is countywide.

 

ALTERNATIVE ACTION(S):

 

If your Board does not approve the recommended action, ISD-Facilities will not be able to address the unanticipated additional service requests from user departments.

 

FISCAL IMPACT:

 

There is no increase in Net County Cost associated with the recommended action. The recommended amendment will increase the total compensation by $500,000 to a total of $1,500,000. All costs are funded through chargebacks to user departments. Sufficient appropriations and estimated revenues are included in ISD Facility Services Org 8935 FY 2022-23 Adopted Budget and will be included in subsequent annual budget requests.

 

DISCUSSION:

 

On November 6, 2018, your Board approved the Agreement with Integrated for alarm maintenance, repair, and inspection services for Notifier systems. The Agreement was for a potential term of five years; including an initial three-year term with two optional one-year extensions, for the period of November 6, 2018 through November 5, 2023. The parties previously approved the first extension period. Integrated has sufficiently served the County under the Agreement.

 

On October 25, 2022, your Board approved a First Amendment to the Agreement which executed the County’s second and final option to extend the term of the agreement by one year, increased the maximum compensation amount by $266,000, to a total amount of $1,000,000, and added the electronic signature clause.

 

Approval of the recommended action will increase the maximum compensation amount by $500,000 to a total amount of $1,500,000, and is necessary to continue existing services, and to add additional Notifier alarm system services to County facilities due to the unanticipated increased demand and upcoming installations of replacement systems at various County facilities, including the Hall of Records and Central Library. All other terms of the agreement remain unchanged.
